JUSTICE CHANDRA DHARI SINGH)<\/p>\n<p>&nbsp;<\/p>\n<p>The Delhi High Court has quashed an FIR filed by the Central Bureau of Investigation (CBI) against Gangakhed Sugar &amp; Energy Ltd. (the Petitioner), ruling that the company cannot be prosecuted for offences committed before the approval of its resolution plan under the Insolvency and Bankruptcy Code (IBC). The FIR was registered under Sections 120B and 420 of the IPC and Sections 13(2) and 13(1)(d) of the Prevention of Corruption Act, 1988 (PC Act).<\/p>\n<p>The FIR originated from a complaint by UCO Bank, acting as the lead lender in a consortium, alleging financial irregularities by the Petitioner and its former management. A forensic audit revealed alleged fund diversion and misrepresentation of accounts, leading to the account being declared a non-performing asset (NPA) and subsequently classified as fraudulent. Following this, the CBI initiated an investigation. Meanwhile, the Petitioner underwent a Corporate Insolvency Resolution Process (CIRP), and its resolution plan was approved by the National Company Law Tribunal (NCLT) in February 2023. The company argued that liabilities arising from past offences were extinguished under Section 32A of the IBC.<\/p>\n<p>A Single Bench of Justice Chandra Dhari Singh emphasized that <strong>Section 32A of the IBC grants immunity to a corporate debtor (CD) for offences committed by its previous management once the resolution plan is approved.<\/strong> The Court stated, \u201cThe resolution plan has resulted in a change of management\/control of the CD. Therefore, the petitioner company is entitled to immunity from prosecution for offences alleged to have occurred prior to the approval of the resolution plan.\u201d The Court highlighted that Section 32A discharges a CD from any prosecution related to past offences from the date the resolution plan is approved. It clarified that the resolution applicant, M\/s Six Sigma Investment Fund, was not related to those accused of the offences in question, reinforcing the application of Section 32A.<\/p>\n<p><strong>Key Observations are Prosecution Barred Post-Resolution Plan<\/strong>, i.e., the Court noted that offences cited in the FIR predated the commencement of CIRP in October 2019, and the resolution plan\u2019s approval in February 2023 extinguished such liabilities; <strong>No Objection to Resolution Plan<\/strong>, i.e., Neither the CBI nor any other party raised objections or appeals against the resolution plan, further solidifying the case for immunity; <strong>Extinguishment of Liabilities<\/strong>, i.e., the resolution process absolved the petitioner of liabilities linked to alleged financial irregularities committed under the previous management. The High Court quashed the FIR and dismissed the CBI\u2019s investigation, underscoring the immunity granted to companies under Section 32A of the IBC. The ruling reiterates that the IBC aims to provide a fresh start for corporate debtors while safeguarding the interests of resolution applicants and ensuring the integrity of the insolvency process.
